This is a unique position for a dynamic attorney who thrives on the challenge of working on a variety of legal and compliance issues in an entrepreneurial environment. To succeed in this position, the applicant will need to be a corporate generalist and have a strong background in compliance matters, in addition to strong project management skills. This position reports to the Senior M&A Counsel in the implementation of Brukers global compliance program and provides commercial counsel to Brukers headquarters functions and business operations in North America. Compliance CounselResponsibilitiesSupport the Global Compliance organization by executing initiatives and achieving goals to continue to build and preserve Brukers culture of compliance and integrity.Draft and review compliance-related materials including policies, procedures, communications and awareness materials that support the compliance and ethics program.Develop and manage an effective corporate compliance and ethics training and communications program, including appropriate introductory training for new employees as well as ongoing education for employees and managers. Oversee the compliance training learning management system, training completion rates, and training audit records. Serve as a compliance training instructor.Respond to compliance and ethics inquiries, both externally and internally.Oversee and/or conduct investigations into reported allegations of violations of the Bruker Code of Conduct or other global policies. Further develop and maintain a case management system to track and monitor any potential ethical or conduct related issues. Administer the anonymous reporting helpline.Understand, stay informed of, and report on compliance trends and best practices; conduct external benchmarking.Assist in ethics program innovation and performance measurement and reporting, including the implementation, tracking, and monitoring of periodic employee ethical culture surveys.Corporate CounselResponsibilitiesDrafting and reviewing a variety of commercial agreements, including NDAs, sales contracts, consulting agreements, and research and development agreementsAdvising on disputes and litigationSupporting the Human Resources and Finance functionsSupporting the General Counsel on SEC complianceAdvising on export controls matters, including staying apprised of trends and new developmentsAdvising on real estate matters, including lease agreementsManaging an extensive network of global subsidiariesManaging outside counsel, including negotiating alternative fee arrangementsQualificationsJD DegreeMinimum 8-10 years working with global corporate compliance and ethics programsStrong analytical ability together with reliably sound business judgment and a balanced approach to risk mitigationSuperior written and verbal communication skills and a demonstrated ability to clearly and accurately explain complex issues to a non-legal audienceFlexibility able to balance process and decision-making in a large organization with an entrepreneurial culture and lean operating environmentCapable of articulating a vision or plan, gaining organizational commitment to action, and leading with indirect authority to achieve resultsDemonstrated ability to build effective working relationships with colleagues worldwide from many different cultures requiredDemonstrated history of driving compliance or legal projects to completion across a global enterprise with little or no supervision requiredExperience with anti-bribery and corruption laws and regulations, including the Foreign Corrupt Practices Act requiredExperience supporting the Finance, Tax and Treasury functions on banking, debt compliance and related issues considered a plusExperience in corporate governance considered a plus Experience in public company work such as SEC compliance considered a plus Experience with export compliance matters considered a plusExperience with data privacy, including HIPAA matters, considered a plusCCEP (Certified Compliance and Ethics Professional) or LPEC (Leading Practitioner in Ethics & Compliance) considered a plusU.S. Citizenship or U.S. Permanent Resident status requiredBruker Corporation offers a comprehensive and competitive benefits package including medical, dental, 401(k), paid vacation, holidays, and tuition assistance (as applicable).
